Job responsibilitiesPromoting and fostering consistent standards for legal entity governance that support the firm’s strategic objectives and providing guidance and oversight to non-Legal corporate secretaries in accordance with internal model and standardsAdvising and assisting, as appropriate, with resolution and recovery plan related matters and other local, regional and global projectsOrganizing board and shareholder meetings, including collecting agenda items and preparing the meeting minutesAdvising on, and assisting with, governance matters requiring board attention and regulatory requirementsAdvising directors on their legal duties and on board governance practices, including organizing and implementing director orientation and continuing educationOrganizing and maintaining corporate records and certificationsManaging and executing local processes including maintenance of local policy documents (e.g., related to signing authorities, company and department chops and the Board of Directors), operation of chop affixture, and creation of capital organization charts upon requestsAdvising on corporate procedures and record retention, as relates to governance mattersManaging certain statutory filings in consultation with external counsel where appropriateManaging certain regulatory filings including researching of regulatory authorities requirements, preparation of required information/documents and submission of regulatory filings; andAdvising on company law and corporate governance matters, including corporate restructuring, capital actions, joint ventures, incorporations and liquidationRequired qualifications, capabilities, and skillsNative level Japanese and high proficiency in EnglishUniversity graduate in Law or related disciplineAbility to work as a collaborative and proactive member of a teamMust be meticulous, organized and take pride in your workAbility to work in a fast-paced environment and within tight deadlinesStrong interpersonal, presentation and communication skillsPreferred qualifications, capabilities, and skillsMinimum 2 years of work experience in legal or financial industryQualification as a Japanese lawyer is advantageous but not necessaryExperience in regulatory reporting/filingABOUT USJ.P.
