A hybrid working model, allowing for in-office / work from home flexibility, generous vacation, personal and volunteer daysEmployee Resource Groups support an inclusive workplace for everyone and promote community engagementCompetitive compensation packages including health and wellbeing benefits, retirement savings plans, parental leave, and family building benefitsEducational resources, matching gift, and volunteer programsWhat You’ll DoNegotiating financial advisory engagement letters relating to buyside and sellside transactions and other advisory assignments with investment banking clients, participating in fairness committees, and advising the Business on conflicts of interest mattersProviding clear and concise advice to business units regarding capital markets transactions for a wide range of domestic and international issuer types and debt and equity products, including registered and 144A/Reg S bond offerings, IPOs and follow-on equity offerings and private placementsAmending and/or reviewing and advising on pre-transaction and transaction documents from initial pitch phase through closingWorking with colleagues in the Legal Department and Compliance in the U.S. and overseas to coordinate advice regarding transactions and related mattersAssisting with policy and guideline formulation and delivering related training on topical issues to the Legal Department and business unitsCreate, maintain, and update legal form templates for M&A and capital markets mattersHow You’ll LeadLeading a team actively managing legal, regulatory and reputational risk issues and working with business units and legal billing group to manage outside legal counsel engagements and related costs and expensesSkills You’ll NeedExperience in M&A and/or Capital Markets (experience in both areas would be a plus but is not a requirement)An active State Bar membership and extensive relevant experience at a major law firm and/or global investment bankExtensive experience representing broker-dealers on financial advisory and/or capital markets transactions. Federal securities law expertise, including familiarity with Securities and Exchange Commission regulations relevant to capital markets transactionsSkills That Will Help You ExcelQualified lawyer with managerial experienceStrong analytical, organizational, multi-tasking and prioritizing skillsCapacity to assume responsibility for your own workload from an early stageAbility to appropriately weigh legal risk, reputational and commercial issues in solving sophisticated legal problemsExcellent verbal, written and interpersonal communication skillsExpectationsIt is the Bank’s expectation that employees hired into this role will work in the New York office in accordance with the Bank’s hybrid working model.Deutsche Bank provides reasonable accommodations to candidates and employees with a substantiated need based on disability and/or religion.The salary range for this position in New York City is $170,000 to $320,000.Actual salaries may be based on a number of factors including, but not limited to, a candidate’s skill set, experience, education, work location and other qualifications.
